The laws of England and Wales govern this Agreement

Any action relating to this Agreement must be brought in courts located in England and Wales, and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of and be enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision, or any other provision of this Agreement.

Application Process

To begin the enrolment process, Affiliates will submit an application via the site. The site's team will evaluate the Affiliate's application and will notify the Affiliate of the Affiliate's acceptance or rejection. In2Police may reject the Affiliate's application if In2Police determines (at In2Police's sole discretion) that the Affiliate's site is unsuitable for the Affiliate Program. Reasons for rejection could include, but are not limited to the Affiliate's site's promoting sexually explicit materials, violence, discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age, or the Affiliate's site promoting illegal activities and/or violating intellectual property rights.

Affiliate Site Links

Affiliates shall use banners or text links provided by the site to its Affiliates and will cause such banners to serve as links to the site. Affiliates will not modify any banners in any way.

Sales and Traffic Information

In2Police will be solely responsible for tracking sales. Affiliates will be solely responsible for ensuring that these links are formatted properly, a necessary prerequisite to tracking such sales. Statements of service sales activity will be provided to Affiliates in real-time with a special URL that Affiliates will be assigned. This will provide the Affiliate a 'members' area, through which the Affiliate will be able to check their statistics, hits sent, sales made, etc.

Cookies

In2Police will use commercially reasonable efforts to download onto the computer of each internet user who accesses the site a 'Cookie' which will contain information sufficient to identify such user as having sent to the site by use of an Affiliate Link, and thus properly reward the Affiliate a commission on any sale, or any subsequent sale made by the user.

No Spam

In2Police has a zero tolerance policy for spam. Spam is defined as any unsolicited email whether commercial or non-commercial in nature. Spam includes, but is not limited to, the sending of ANY unsolicited information to a person or group that has not specifically asked to receive that particular information or is not a personal acquaintance of the individual sending the information. All Affiliates are expected to adhere to In2Police's no spam policy. Affiliates may promote the sites affiliate program to "opt-in" lists ONLY. If you run a newsletter, ezine, or other kind of bulk email service, you must have evidence that people signed up to receive email from you. Any and all spam complaints will be investigated thoroughly. If you spam, we WILL terminate your contract.
Part of the no spam policy means, you may NOT:
Send any email to any type of mailing list or opt-in list that has been purchased or acquired from an outside individual or party.
Send any email to any type of manually or automatically harvested list of email addresses, names, or contacts.
Send any email to any type of "lead" or "prospect" before you have received a request for more information.
Fax any message to any recipient that has not requested the information first.
Send inappropriate postings to any newsgroup or forum that violates their anti-spam regulations.

Agreed Commission Rates

In2Police will pay to the Affiliate forty five percent (45%) on the first tier revenue received by the site from the Affiliate's referred members. In2Police will pay to the Affiliate five percent (5%) on the second tier revenue generated by the Affiliate's referred members. (This means in practice Affiliates have the ability to recruit other Affiliates into their team, and earn a commission of five percent (5%) on any revenue the referred Affiliate may generate.)

Commission payments will be paid as 'net commission'

Net commission will be calculated at the Agreed Commission Rate (gross) (net of UK domestic VAT). The net commission is the actual payment made to the affiliate. If a VAT registration number is provided by the affiliate VAT will be paid in addition to the calculated commission.

When will commission payments be paid?

Commission payments will be paid on the last working day of the month to all Affiliates that have earned £20 or more during the previous month. (In practice for example this will mean that any commissions earned in April would be paid on the last working day in May.) Commissions earned by Affiliates of £19.99 or lower will be rolled over into the next month and all subsequent months until Affiliate earns at least £20. Commission payments will take into account any 'chargebacks' incurred during the period upon which the commission is being paid.

Limitation of Liability

In2Police will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, data or damage to computer systems) arising in connection with this Affiliate Agreement or the Affiliate Program even if In2Police have been advised of the possibility of such damages. Further, In2Police's aggregate liability arising with respect to this Affiliate Agreement and the Affiliate Program will not exceed the total commissions paid or payable to an Affiliate under this Affiliate Agreement.

Disclaimers

In2Police makes no express or implied warranties or representations with respect to the Affiliate Program or any products or services sold through the Affiliate Program (including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, In2Police makes no representation that the operation of In2Police products and services will be uninterrupted or error-free, and In2Police will not be liable for the consequences of any interruptions or errors. In the case of an interruption or error in In2Police service that prevents In2Police from correctly recording any purchases done by visitors directed to In2Police by the Affiliate, In2Police will endeavour to notify the Affiliate about the presence of such an interruption or error via E-mail within one (1) business day, and will do its upmost to rectify any such errors.

Terms

The terms of this Affiliate Agreement will begin upon In2Police's acceptance of an Affiliate to the Program and will end when terminated by either party. Either Affiliate or In2Police may terminate this Affiliate Agreement at any time, with or without cause, by giving the other party written notice of termination. The Affiliate is only eligible to earn commissions on sales of In2Police services and products occurring during the term. In2Police may withhold Affiliate's final payment for a reasonable time to ensure that the correct amount is paid.

Modification

In2Police may modify any of the terms and conditions contained in this Affiliate Agreement, at any time and at In2Police's sole discretion, by posting a change notice or a new Affiliate Agreement on the In2Police website and simultaneously contacting the Affiliate via E-mail. Modifications may include, for example, changes in the scope of available commissions, fee schedules, payment procedures, and Affiliate Program rules. If any modification is unacceptable to the Affiliate, the Affiliates only recourse is to terminate this Affiliate Agreement. The Affiliate's continued participation in the Affiliate Program following In2Police's announcement of Affiliate Agreement change or a new Affiliate Agreement will constitute binding acceptance of the change.
